Nonprofit Startup & Ongoing Development
When you decide to start a nonprofit, you are embarking upon an exciting adventure. The primary driving force is usually the desire to make a difference, to impact a community, or to advocate for change.
There are many types of nonprofits including those that are strictly nonprofit corporations organized in your state. However, most seek IRS tax exempt status. If you are seeking IRS tax exempt status, there is an additional layer of start-up requirements and on-going operations. Additionally, there are state and local laws related to the development and operation of your nonprofit corporation, such as sales tax and charitable solicitations.
There are tremendous resources to help your nonprofit at national, state and local levels. Locally, other nonprofit support organizations can provide helpful assistance. At the federal level, the IRS website is a great source of information. For smaller nonprofits, the IRS website offers an easy online application. We help our clients tap into a library of available resources in efforts to get your nonprofit started out on the solid footing.
As a practice specializing in nonprofit law, we cannot stress the value and importance of getting started on the right foot through proper legal and tax guidance more emphatically. However, if your organization is already in the midst of operation, we can still assist.
Additionally, we recommend that all nonprofits go through periodic reviews of their policies, procedures, and legal requirements to ensure they are current and compliant.
We assist all types of nonprofits including but not limited to small community charities, political, private foundations, associations, religious organizations, nonprofit hospital or community health systems.

The Farmer Lawyer
The day Maria closed on her 10-acre farm was one of the happiest days of her life. She wanted to keep her horses, get some cows, chickens, ducks, sheep, pigs, and in the process, build her dream farm. Being a “farmer” and a lawyer has really helped her see the practical issues of agriculture, cattle, farming and food production.
Although Maria was born in Alaska to homesteading parents, with much of her childhood spent in West Virginia, she spent her formative years in the city, so her experience as a farm girl is still a work in progress. While she doesn't have the responsibility of being a farmer for income, she does have some of the labor of being one. She built her own (crooked) three-strand barbed wire fence with her kids, wrangled a few cows back into the pasture, and raised a variety of animals.
Maria is in awe of the entire agricultural and food production system and those who keep it going. That said, her first job is as a lawyer, and as a food and farm lawyer, her job is to make sure our clients are protected and compliant with the local, state, and federal laws that impact their food and farm businesses.
Food and farm is more than just part of our job, it's a large part of our passion. To that end, we offer a variety of services from startup to winding down or selling your farm or business, and everything in between.
